Cairnbaan

NOTICE OF THE FIRST ANNUAL GENERAL MEETING 2024

Dear Member,   (Join here if you’re not already a member)

You are invited to attend the Annual General Meeting of the Cairnbaan Community Trust to be held on Thursday, 7th November 2024 at 7.00pm at the Egg Shed, Ardrishaig.

Light refreshments will be provided from 6.30pm.

 Proxy Attendance & Voting

Due to the absence of a meeting venue in Cairnbaan, we have chosen the Egg Shed as a nearby suitable venue for the AGM but if you are unable to attend the meeting, you can use a Proxy Form to appoint a Proxy to express your views and vote on your behalf.

A Proxy does not need to be a member of the Trust and can be anyone you know who is able to attend the meeting. If you wish, you can also appoint the Chair of the meeting to be your Proxy.

The Constitution requires that Proxy Forms must be submitted at least 48 hours before the AGM. Forms can be scanned & emailed to info@cairnbaancommunitytrust.org or delivered by post/hand to – Cairnbaan Community Trust, New Cottage, Lock 7, Cairnbaan, Lochgilphead, PA31 8SQ.

Any question as to the validity of a proxy shall be determined by the Chair of the meeting whose decision shall be final.

Nomination of Trustees

At the AGM, all the existing Trustee members of the Board will stand down. They will be eligible for re-election along with any other nominees. We are seeking to have the widest range of age, experience, skills and enthusiasm.

Any member of the Trust may nominate another member for a vacancy on the Board.  A member cannot nominate themself for election.

Elected Trustees must be nominated in writing by at least two members (see Nomination Form) and must give the full name, address and occupation of the persons being nominated who must sign and fully complete the form.

The Constitution requires that Nomination Forms must be submitted at least 7 days before the AGM. Forms can be scanned & emailed to info@cairnbaancommunitytrust.org or delivered by post/hand to – Cairnbaan Community Trust, New Cottage, Lock 7, Cairnbaan, Lochgilphead, PA31 8SQ.

Adoption of Revised Constitution

At the AGM, there will be a resolution to adopt the revised Constitution. The original Constitution was revised to follow a Scottish Government model, and it is that Revised Constitution which the Charity Regulator accepted when granting us charitable status.   In summary the differences between the old and new constitution are technicalities meeting regulations, and legal requirements of the Community Asset Transfer which we are seeking from Forestry & Land Scotland.  There are also amendments designed for increasing social inclusion, ensuring that any applicant qualifying for membership will get it.

Financial Report

For the AGM, we have published a brief Financial Report with Accounts showing transactions from when we were granted Charitable Status up to 9th October 2024.

If anyone has any problems with the links or Forms, please just get in touch with us.

Regards

Ann Adam

Secretary
